What are the most common causes of a business split-up and/or shareholder buyout in the A/E industry? What is the difference between "fair market value" and "fair value," and more importantly, why should you care? What protections does your shareholder/partnership/operating agreement provide to you in a business split-up? How do the state laws impact the value of your interest? Paul Gergel and Tom Hoberman will explain these and other topics that you must be aware of when ending a business relationship.

Partnerships in A/E firms can be extremely successful; however, in some instances for future success, those partnerships must come to an end. Our speakers will discuss how to prepare for those situations when times are good and practical considerations when litigation is imminent, in order to achieve an equitable result for all parties involved.

With each having over 20 years of professional experience in the accounting industry, Paul Gergel and Tom Hoberman are both partners at WithumSmith+Brown, Certified Public Accountants and Consultants. Gergel has extensive experience working with firms in the A/E industry and serves as Practice Leader of the niche group. The niche includes a team of CPAs who have an expertise in the A/E industry, assisting these firms with a variety of financial and operational issues. Hoberman has an expertise in business valuations and has provided forensic accounting and business valuation services to federal and state courts, attorneys and corporations. In addition, he has assisted several clients in business split-ups and has helped to resolve disputes among shareholders.

Gergel is a licensed certified public accountant and certified financial planner. He graduated from St. Francis College with a BS degree in accounting. Hoberman is also a certified public accountant and is accredited in business valuations and certified in financial forensics through the American Institute of Certified Public Accountants (AICPA). He graduated from the University of Maryland with a bachelor's degree in accounting.
